Preamble
This Ambassador Program Agreement (the "Agreement") is entered into by and between MARSLED COMPANY LIMITED (referred to as the "Company", operating under brand Primelux) and the program applicant (the "Ambassador").
By submitting your ambassador application and participating in the Program, you fully acknowledge that you have read, understood, and unconditionally agree to abide by all terms set forth below.
1. Eligibility & Application
1.1 You must be at least 18 years old, a permanent resident of the United States, and able to provide valid U.S. tax documents for 1099 contractor reporting.
1.2 All information submitted in the application must be true and complete. The Company reserves the full right to review, delay or reject any application without explanation. You shall promptly notify the Company of any changes to your contact, tax or social media information.
2. Ambassador Responsibilities
2.1 All Primelux promotional content must match the brand’s positioning; false, distorted or misleading product descriptions are prohibited.
2.2 You shall clearly mark all sponsored content with #ad / #sponsored to comply with U.S. FTC disclosure requirements.
2.3 Resale, rental or gifting of complimentary testing samples, as well as transferring exclusive discount privileges to third parties, is forbidden.
2.4 Keep your registered email active to receive official program notices, sample approvals and commission statements.
3. Discount & Commission Rules
3.1 You will receive an exclusive 10% follower discount code for your audience purchases. Valid tracked orders using this code generate a 10% commission for you.
3.2 A private 15% off personal coupon is provided solely for your own vehicle or business purchases. This personal coupon requires a minimum cart value of $50 to be activated. Self-order transactions earn zero commission and cannot be combined with other discounts. This coupon is non-transferable, non-resellable and only usable on your tagged ambassador account.
3.3 System safeguards prevent your account from using your personal follower discount code. Each order may only apply one single discount type.
3.4 Commissions are calculated on net sales excluding shipping, tax and payment fees, and become payable only after full customer payment and delivery.
4. Free Sample Policy
4.1 Each sample request is generally limited to one unit of a single SKU, unless an alternative allocation (such as a matching pair) is explicitly approved by the Company based on your program status or vehicle build requirements. You must complete required content obligations for previously issued samples before submitting new requests.
4.2 After receiving samples, you must publish qualified real test content within 30 days and keep your affiliate link publicly visible for a minimum of 60 days.
4.3 Failure to fulfill sample content obligations or repeated policy violations will result in restricted access to future sample applications.
5. Status Adjustment Right
The Company reserves the absolute right to adjust your program status at any time, including limiting sample access, revoking exclusive discount codes or terminating this Agreement, if you breach any terms of this Agreement.
All Elite Ambassador arrangements are subject to this core Agreement plus a separate supplementary contract signed by both parties after official invitation from the Company.
6. Payout & Termination
6.1 Clearing Period: Commissions are subject to a strict 45-day clearing period from the transaction date to account for potential customer returns.
6.2 Payout Schedule & Safe Harbor: Approved and cleared commissions are processed and paid exclusively via PayPal between the 1st and 10th of each month, provided your payable balance meets the minimum withdrawal threshold of $50. In the event that the payout window falls on a weekend, a national/public holiday in Hong Kong or the United States, or encounters unpredictable third-party payment system maintenance/reviews, the payout processing period shall be automatically extended to the next available business day without penalty or liability to the Company. All unpaid qualified commissions will be fully settled upon termination.
6.3 Either party may terminate this Agreement at any time via written email notice. After termination, you must cease all use of Primelux trademarks, follower discount code and personal purchase coupon.
7. Intellectual Property
You are granted a non-exclusive, non-transferable limited license to use Primelux logos and official product materials only for authorized promotion. All intellectual property rights belong entirely to MARSLED COMPANY LIMITED. Unauthorized editing or commercial reuse outside promotion scope is prohibited.
8. Confidentiality
All non-public internal program information shared with you shall be kept strictly confidential. This confidentiality clause remains effective after agreement termination.
9. General Clauses
9.1 The Company reserves the right to revise this Agreement with advance email notice. Continued participation in the Program constitutes acceptance of updated terms.
9.2 This Agreement represents the full binding understanding between both parties and supersedes all prior oral or written communications.
9.3 This Agreement shall be governed by the laws of the United States.
